<p><strong>December 9, 2011</strong>- New Moon Minerals Corp. (&#8220;New Moon&#8221; or the &#8220;Company&#8221;) is pleased to announce that it has filed and obtained a receipt dated December 7, 2011 for its amended and restated final prospectus in Ontario, Manitoba, Saskatchewan, Alberta and British Columbia with respect to its proposed initial public offering (the &#8220;Offering&#8221;) and has also received conditional approval from the TSX Venture Exchange (&#8220;the Exchange&#8221;) for the listing of its common shares (the &#8220;Common Shares&#8221;) on the Exchange as a Tier 2 Mining Issuer.</p>
<p>This amended and restated prospectus (the &#8220;Prospectus&#8221;) qualifies the distribution (the “Offering”) by New Moon of a combination of up to 14,000,000 non-flow through units (each a “NFT Unit”) at a price of $0.15 per NFT Unit and up to 6,000,000 “flow-through” common shares (each a “FT Share”) at a price of $0.15 per FT Share, provided that the maximum aggregate gross proceeds of the Offering are $2,100,000.  Each NFT Unit consists of one non-flow through common share of the Issuer (a “NFT Share”) and one transferable non-flow through common share purchase warrant (a “Warrant”).  Each Warrant will entitle the holder thereof to purchase one additional common share of the Issuer (a “Warrant Share”) at any time on or before 18 months after the closing (the “Closing”) of the Offering at an exercise price of $0.18 per Warrant Share.</p>

<p>The New Moon Minerals Border-Niska property consists of one strategically located claim totaling 649 acres and is located approximately 62.5 Kilometres north of the town of Hudson Bay, in East Central Saskatchewan. Provincial Highway 9 runs adjacent to the property and there is also an active railroad (CNR) located approximately 200 metres south of the property. New Moon can earn a 100% interest and optioned the claim from Gem Oil Inc.</p>
<p><span id="more-414"></span></p>
<p>This New Moon Border-Niska coal property identified as CPP1375, lies adjoining to and within the known coal zone labeled Niska 108 owned by Goldsource Mines Inc. (TSX.V-GXS). With the exception of this New Moon 649 acre strategic exploration disposition Goldsource holds all the other coal exploration permits (183) in this Border area and totally surrounds New Moon.</p>
<p>The immediate area has usually been centered on kimberlite exploration. Even to date, geophysical maps show normal kimberlite signatures throughout the region. However, in 2008 when Goldsource Mines were drilling for kimberlites near Hudson Bay, coal was discovered and mineral claims were immediately transferred to coal claims in the region. But there was a gap in the Goldsource staking and Gem Oil Inc. noticed this and staked CPP1375. This claim appears to possibly have the extension of the Niska 108 zone according to the geophysical signature.</p>
<p>During March, 2011, Gem Oil Inc. &#8220;: the vendor:&#8221; ordered a Bouger gravity survey to be conducted over CPP 1375 to identify any possible low gravity anomalies on the property. This program ended on March 14, 2011. The gravity survey indicates a substantial &#8220;Low&#8221; in the north central region of CPP1375. This area agrees exactly with the coal outline on the Goldsource Niska 108 and appears to comprise approximately 20% of the total Niska 108 coal zone.</p>
<p>Drilling done by Goldsource Mines allowed them to calculate an inferred resource of 66.1 million Tonnes at this zone. This resource does not include the CPP1375 area that is part of the Niska 108 coal zone. The detailed Bouger Anomaly map also indicates other lower gravity zones (possible coal) through the central and southeastern regions of the property therefore giving the property even greater potential.</p>

<p>&#8220;:As noted in Section 4.0 within the project area there is a single drilling permit which is held by another party.  This permit is located at the south end of Niska 108 and can be found on these figures.  Reported resources for Niska 108 only include the tonnes within Goldsource&#8217;s drill permits and do not include the tonnes associated with the permit under control by the other party&#8221; now being New Moon.. <p>The mine was in production from 1966 to 1972 and total production was reported at 62,227.107 lbs of copper, 309,600 ounces of silver and 67,652 ounces of gold.</p>
<p>It is road accessible via Highways 102, and 915, then by a 7 kilometer bush road.</p>

He started as a Research Analyst with City of Winnipeg, specializing in economics and taxation policy.  His career shifted toward finance and investments when he worked as an analyst and manager at the Winnipeg Stock Exchange (later the Canadian Venture Exchange).  After the stock exchange was purchased, Richard transitioned to an opportunity to establish and manage the Manitoba Public Insurance Investment Department and its $1.3 billion portfolio in 2002.  Four years later, Richard joined a startup private client investment counsel firm, Quadrant Asset Management as the Manager of Research.  Missing the institutional side of investments, Richard was hired by the University of Alberta as a portfolio manager for its endowment funds in 2009.  Recently, Richard has been a board member for a small Manitoba faith-based foundation and was an active board member and volunteer with the Canadian Slovenian Cultural Society.  He is a member, current board member and past-president of CFA Winnipeg (formerly the Winnipeg Society of Financial Analysts) and a member of the CFA Institute.  Richard graduated from the University of Manitoba in 1988 with a BSc (mathematics and physics) degree and in 1991 with a MBA (finance) degree. He was awarded his Chartered Financial Analyst (CFA) designation in 2001. </p>

This gold project is located in the Rainy River area of Ontario approximately 8 km northeast of Rainy River Resources (TSX.V – RR) and approximately 6 km southeast of Coventry Resources (ASX- CVY) Cameron Lake deposit. These patented claims are host to a mineralized shear zone that is 150 ft wide and can can traced for 2000 ft, this zone is squeezed between a large body of younger porphyry to the north and a massive body of gabbro to the south.<br />
&#8220;It is presumed that with the intrusion of the large body of younger quartz to the north, and the massive body of gabbro to the south, faulting, shearing, and shattering occured on the less resistant belt of volcanics.This highly impressive sheared and brecciated zone of weekness, allowed for penetration of the gold bearing silica solutions contemporaneous, and attributed to the younger quartz porphyry body to the north. Thus the shear zone, to repeat, some 150 ft in width, folded, and cross faulted, is impregnated by a network of quartz veins and stringers.</p>
<p>The past owner of the property partially exposed the shearing in a series of well designed trenches, and several pits over a lenght of 1000 ft. Deep overburden both to the northeast and southwest did not allow for further trenching even though the zone is traceable for 2000 ft. Lack of funds also prevented systematic sampling. The mineralization consists of pyrite, galena, bismuth telluride, chalcopyrite and free gold.</p>
<p>This network of quartz veins and stringers yielded very impressive results from most of the trenches sampled so far and we are very happy that this large zone wasnt fully explored properly.</p>
